INDEMNITY:  Buyer shall Indemnify M2 Enterprise, Inc. against, and hold M2 Enterprise, Inc. harmless from: any and all claims, actions, suits, costs, and attorney's fees, arising out of, connected with, or resulting from a M2 Enterprise, Inc.'s product or sourced product while in Buyer's possession or subject to Buyer's control including, without limitation, claims arising out of manufacture, selection, delivery, possession, use, operation, malfunction, or return of any M2 Enterprise, Inc.'s product, including claims alleged to arise out of or result from M2 Enterprise, Inc.'s own negligence.

RESOLUTION OF DISPUTES/ARBITRATION/WAIVER OF JURY: Any and all complaints, disputes, or claims must be in writing delivered to M2 Enterprise, Inc., at the address below.  If your claim or dispute is not resolved within 30 days of its delivery to m2 Enterprise, Inc., it shall be settled by Arbitration in accordance with the rules and procedures of the Mississippi Academy of Mediators & Arbitrators through its Mississippi Chapter, Gulfport, Mississippi affiliate office(s) which can be found at www.missmediators.org.  The award rendered by the Arbitrator will be final and may be entered as a judgment in the Harrison County Courts, Gulfport, Mississippi.  You understand and agree that you are agreeing to Arbitration instead of trial by judge or jury, that you are giving up the right to a trial by judge or jury of any claim or dispute with M2 Enterprise, Inc.

SEVERABILITY: If any of these Terms and Conditions are determined to be unenforceable, the remainder shall remain in full force and effect.

WAIVER/MODIFICATION: None of these Terms and Conditions may be waived, altered, or otherwise: modified except in writing signed by M2 Enterprise, Inc.

THE APPLICABLE LAW/JURISDICTION & VENUE: The Purchase Contract shall be deemed to have been entered into in, and is to governed by the laws of, the State of Mississippi.  Any court action to enforce the arbitration provisions of this conract or otherwise must be filed and tried in the Harrison County Courts, Gulfport, Mississippi.  It is agreed that no other court shall have Jurisdiction or venue.
